I have the honour to inform you that I have addressed to Sir E. Grey a despatch indicating the lines on which I propose to proceed in drafting the measure which will be required to carry out the arrangement come to between the Foreign and Colonial Office with reference to those Hongkong Companies whose registered offices are to be in Shanghai.

As the scheme involves important legislation in the Colony I am sending you a copy of that part of my despatch which out- -lines it in the hope that Your Excellency may approve the lines on which I wish to work.

It is of course understood that the fees on registration and the annual licence fee will continue to be paid to the Hongkong Government on that Government establishing a branch registry in Shanghai for what may conveniently be called China Companies. You will see that in the task set me of preparing the necessary Order in Council, I wish to follow the analogy of England and Scotland which seems to me reasonably close to our present position. The Court in which the registered office is situate will be the Court to make the necessery orders and the Courts should then be auxiliary to one another for carrying them out.

I am aiming throughout at establishing a working scheme for business men, and at the same time making such provisions as may secure legitimate control of companies by the Courts which exercise. jurisdiction where they carry on business. If the sketch I have submitted to Sir E. Grey meets your approval I should be glad if you would let me know, so that I may proceed, with as little delay as possible with my draft.
